Satellite Radio Stock Manipulation

You will often here the terms "stock manipulation" or the "market makers are manipulating" tossed around. Often, people look at this and think that it is just an investor with a case of sour grapes after a bad day with an equity.

THINK AGAIN

Stock manipulation is a major part of the stock market. It happens almost all of the time. There already exist some very compelling stories related to the subject. Overstock.com Was the subject of a news show piece very recently. In fact, at one point in time there were more shares short on the stock than the float!!!!!

If you ever get a chance, look at Level 2 stock quotes. You can see the bid as well as the ask, and often can see some puzzling things happening. Watch level two on SIRI or XM, and look at what happens just before close on some days. You can see the stock pop or drop in a matter of minutes, and it happens with both big trades as well as small trades. Watch the equity during the middle of the day as it approaches a certain price level, and watch what happens to take the stock down off of that level.

The term "naked shorts" has had a lot of press lately. There is one company that is now doing something about it. An SSG reader forwarded this story to me, and I felt compelled to pass it along to you. Stock manipulation is an issue that we all have to contend with, and seeing and understanding the methods to fight it can help investors be better aware of the issue.

Getting More Out of Sirius

As reported here and at many other sources, Sirius has updated their website. Many have commented on the new look of the site, but the upgrades go deeper than the front page. Here is some interesting things that allow Sirius subscribers to get more out of Sirius.

Traffic and Weather

Navigate to this page, select your city, click on GO, and BOOM. You have the weather reports right on line before you even leave your office. At first glance this may not seem impressive....After all, you can get weather reports anywhere on line. But, this does give Sirius subscribers an easy to use reference without having to leave the Sirius web site.

Music

Simply hit the music button here and you see the music selections of Sirius broken down into genres and categories. There is even a section that lets you know about what is coming up on the various streams. Again, an improved functionality of the site.

Entertainment

The Entertainmant button gives you access to all of the entertainment content on Sirius. This section enables you to see Comedy, Talk, Lifestyles, Family and Kids, as well as Religious programming.

Sports

The Sports button gives you access to the most extensive sports programming package on satellite radio. The NFL, NHL, NBA, English Premier Soccer, Arena Football, College Sports, Horse Racing, Sports Talk, and even a section reserved for Nascar can be found here. Play by Play and show schedules can be accessed here. This page is worthy of a "bookmark" by sports fans.

Only On Sirius

The Only On Sirius button is perhaps the most impressive showing of Sirius content. You can view the Only On Sirius page by clicking here. This page shows users a lot of the exclusive content that Sirius has to offer. Forty One shows and channels are listed here, and a click on any one of them tells you a bigger story. This page is full of content that you simply can not get anywhere else, and that list is not even complete.

There are other aspects of the site that a full of informative content as well. Subscribers and non-subscribers alike should take a few minutes to explore the site.

A Glimpse of the Sirius Wearable??

The quick eyes over at Sirius Backstage noticed that Sirius' new website may have given a glimpse of the much anticipated Sirius wearable. The image was taken down later in the day, so if you visit the site you wont see it now. The guys at Sirius Backstage captured the image.

There seems to be a lot of debate about when the unit will be available, but seeing it on the site means it could be very soon.

ABC Testing On Line Video

Rest assured that there will be many sectors interested in ABC's on line video offerings, and satellite radio will likely be one sector keeping a close eye things.

Many companies are exploring how to deliver content to audiences that goes beyond the living room television set. ABC will be rolling out on line versions of popular television shows May 1st, and will run the service through June.

Initial studies indicate that 1 out of 4 people express interest in viewing their favorite shows on line. One of the major concerns settles around advertising. The ABC service will not allow viewers to skip ads. This did have an impact on the level of interest in the service, but the numbers still seem to support the endeavor.

The key items that will interest those that follow the satellite radio equities is just how many people would utilize such a service, and where, if at all, does advertising revenue fit in. Sirius and XM will have to invest a lot of capital into video services, and will also need to commit bandwidth. Bandwidth is not an endless commodity, and the satellite radio companies need to be sure that they are getting a return on their investment of dollars and bandwidth.

As video becomes more widely available, the competitive landscape could play a major role in how the satellite radio companies roll out the services. Partnerships may be necessary simply to defray costs, and lock up content.

A New Look For Sirius

Sirius Satellite Radio has changed their look. The Sirius website has been re-vamped and looks pretty nice. You can check it out here.

The new site has a slick new look that is easy to navigate and very informative. We find the category sections that enable the subscriber to scroll through the channels to be quite nice. For those who do not yet have Sirius, it is an easy way to explore what Sirius has to offer.

FCC Investigates XM

XM satellite Radio informed investors today of a letter that they received from the Federal Communications Commission (FCC) regarding "emissions" from the SKYFI2 satellite radio receiver.

In an 8k filed with the SEC XM stated the following:

In the ordinary course of business, we become aware from time to time of claims, potential claims or investigations, or may become party to legal proceedings arising out of various matters, such as contract matters, employment related matters, issues relating to our repeater network, product liability issues, copyright, patent, trademark or other intellectual property matters and other federal regulatory matters.

On April 25, 2006, we received a letter from the Federal Communications Commission stating that its Office of Engineering and Technology Laboratory has tested the Delphi XM SKYFi2 radio and has determined that its transmitter is not in compliance with the applicable emission limits. The letter seeks information from us regarding the testing, emissions and other matters relating to this radio. We are conducting an internal review, and anticipate responding to the letter shortly and cooperating fully.

Also on April 25, 2006, we received a letter from the Federal Trade Commission stating that they are conducting an inquiry into whether our activities are in compliance with various acts, including the FTC Act, the Telemarketing Sales Rule, the Truth in Lending Act and the CAN-SPAM Act. This letter requests information about a variety of our marketing activities, including free trial periods, rebates, telemarketing activities, billing and customer complaints. We are conducting an internal review of these matters, and anticipate responding to the letter shortly and cooperating fully with this investigation.

XM believes that it is too early in the process to determine the significance, if any, of these matters to our business, consolidated results of operations or financial position.

It is our understanding that this type of inquiry from the FCC is not uncommon. The FCC sometimes conducts test that have results that do not match the data provided by the testing company when the units receive their initial FCC approval. Should the FCC's test prove that a device does not meet standards, a recall is still rather unlikely. Penalties and fines seem to be the "norm" with regards to this type of issue rather than a mass recall.

As XM stated in their 8k, they will respond to the FCC inquiry accordingly, and they intend to comply with all regulations.

Many may be wondering if this issue will spill over into other units, or to Sirius. This may or may not happen. Only the FCC knows this answer.

FTC Investigating XM

XM satellite Radio seems to be in a bit of hot water with the Federal Trade Commission (FTC).

for those that are not familiar, the FTC is a government agency charged with protecting the American consumer.

XM did not shed much light on the reason for the FTC complaint, but some speculation has already made the rounds.

XM said it received a letter from the U.S. Federal Trade Commission on April 25 stating that they were looking into whether XM's activities comply with various rules, including the Telemarketing Sales Rule and the Truth in Lending Act.

XM executives stated that it was a "pretty general inquiry" and that the company would soon contact the agency to inquire about their concerns.

The most common thread of the speculation is that initial complaints were centered around the practice of trying to sign OEM promotional subscribers to the XM service. This speculation seems well placed given that XM stated that the FTC is interested in XM's telemarketing practices. What specific violations are alleged are as yet unknown, but may include techniques, or even telemarketing to individuals on the National Do Not Call Registry. It does appear that the FTC is requesting information that would pertain to several aspects of XM's marketing practices.

At this point it is to early to tell what the repercussions may be, but the potential for penalties and fines does exist.

A Congratulations Is In Order

Spencer was born at 2:38AM and weighed in at 9 lbs. 1.5 ounces.

XM Conference Call Wrap Up

April 27, 2006

XM has conducted their call, and the street is now aware of the results.

XM missed street consensus of a loss of 53 cents per share. XM posted a loss of 62 cents per share. XM did beat revenue expectations by about 6.5 million dollars.

SUBSCRIBERS

XM posted NET subscriber gains of 568,902. This brought their total subscriber base to 6,501,859 subscribers. This leaves XM needing 2,500,000 subscribers to meet their stated guidance of 9,000,000 subscribers by the end of 2006.

XM’s retail channel brought in 303,622 subscribers. Of that retail base, 167,180 (or 55%) came in the “Friends and Family” program. The family plan now accounts for 20% of XM’s overall subscriber base. This is virtually unchanged from Q4. Data subscribers made up 22,000 of the retail subscribers.

XM’s OEM channel saw substantial growth, and reported 272,024 NET subscribers. OEM conversion rate is 54%.

XM’s Rental channel saw a decrease of 6,744 subscribers.

CHURN

XM reported a churn rate of 1.64%. It should be noted that XM’s churn does not include those who do not keep the service after the promotional period expires. Overall XM had 450,598 deactivations in the first quarter

SUBSCRIBER ACQUISITION COSTS

XM reported improvement in this sector over the fourth quarter. Q1 SAC was $62, while Q4 was at $89. The improvement is nice, but still has not come back to pre Q4 levels.

COST PER GROSS ADDITION

XM again improved this metric over Q4. In Q4 the CPGA was $141. The first quarter brought this cost down to $94. XM stated that thcommittedommited to keeping CPGA under 4100 for the full year of 2006.

REFINANCING

As reported earlier by SSG, the refinancing helps XM’s cash flow position substantially. XM did note that they will incur a $75,000,000 non-cash expense in Q2 relating to the financing. Most analysts should be picking this up in their projections in the coming days.

AVERAGE REVENUE PER UNIT

XM reported ARPU of above $10.00 for the first time. ARPU for Q1 came in at $10.07. This is up from $9.85 cents in Q4 2005. An increase in ARPU is very nice to see from XM. XM expects ARPU to stay above $10.00 for all of 2006.

WCS SPECTRUM

XM did not offer any new information on the WCS Spectrum SSG feels that uncertainty surrounding this spectrum still acts as a weight on this equity. This is not to say that the WCS acquisition is bad. SSG simply feels that the lack of information regarding this bandwidth remains as a question mark in the minds of many on the street.

REVENUE

XM reiterated subscriber revenue of $860,000,000 for 2006

CASH FLOW BREAK EVEN

XM stated that they will not be at cash flow break even this year. They did stress that they will have Positive Operational Cash flow in the fourth quarter of 2006, and expect to maintain that status throughout 2007. XM stated that due to expenses related to the XM-5 satellite that true CFBE is a second half of 2007 event.

Overall, the quarter was good forreiteratedteratted guidances that they had previously stated, and offered a positive outlook for 2006. The call was somewhat dampened by the FCC probe and the FTC probe, both of which XM felt should be brought to the attention of investors. XM stated that they intend to cooperate with the agencies, and supply wdocumentationantation that the agencies are requesting. I would have preferred to have some more detail on the WCS spectrum, but it appears that it is not yet in the cards.

Sirius Gets Scandanavian

Sirius satellite Radio has announced the launch of a Scandanavian radio show. The show will air in channel 18 The Spectrum.

Nordic Rox will be produced under the creative guidance of Per Gessle, one of the world's most successful songwriters, producers and musicians. As a member of the band Roxette and other performing bands, Gessle has sold 45 million albums worldwide and written dozens of songs that have been blockbusters on European and American radio, including "It Must Have Been Love," which has been aired more than 4 million times on US radio, according to BMI, and is one of Roxette's four No. 1 US singles.

The program will be hosted and programmed by Radio Stockholm on-air personality Viktor Petrovski, a prominent figure in the Swedish music scene. Also contributing to the program will be the lead singer of The Hives, Howlin' Pelle Almqvist, and highly respected ABBA historian Carl Magnus Palm (on behalf of ABBA's Benny Andersson and Bjorn Ulvaeus).
The first episode of Nordic Rox will be broadcast on SIRIUS channel 18, The Spectrum, this Sunday, April 30 from 8 pm to 11 pm ET.

"The wave of high-quality bands coming out of Sweden today rivals anything since the big UK music movements," said Scott Greenstein, SIRIUS President of Entertainment and Sports. "The launch of Nordic Rox, together with our recent addition of BBC's Radio 1 channel, further establishes SIRIUS as the leader in discovery of new popular music around the world."
Gessle said, "I'm very honoured to be part of presenting Swedish and Scandinavian music outside our borders. The music scene in Sweden is certainly very creative and it will be a pleasure to present the best of it to the listeners of SIRIUS Satellite Radio. Pump up the volume!"

Nordic Rox will place a spotlight on the quality and depth of Scandinavian artists and music, which have never been exposed in this manner in the US. The show will also be the first place in the US to hear exciting new music emanating from Sweden and Scandinavian countries.
Historically, Sweden is the third largest exporter of music, after the US and Great Britain. It is a creative hotbed for musicians, songwriters, producers and technicians that, since the 1970s, have significantly contributed to the global pop music community. The success of the blockbuster musical Mamma Mia! has proven the enduring popularity of Swedish hitmakers ABBA's music. Scandinavian music producers Max Martin (Britney Spears, Bon Jovi, Kelly Clarkson), Anders Bagge (Madonna, Jennifer Lopez, Jessica Simpson) and Tore Johansson (The Cardigans, Franz Ferdinand), among others, are responsible for many US hits, as well as the worldwide "Crazy Frog" phenomenon.

XM In The News

XM satellite Radio reports earnings today, but the wires have already been busy with several reports regarding the satellite radio company.

Satellite Standard Group will listen to the call today, and provide our re-cap. At this point it is prudent to look at some of the basics as the have been filed.

The street was expecting a loss of about 53 cents per share. XM missed this number and posted a loss of 60 cents per share.

Revenue beat the streets expectations $201,500,000 by about 6.5 million. XM posted revenue of $208,000,000

SSG had noted that it was very important that XM bring their expenses into line While the loss was bigger than expected, XM did bring down SAC down to $62. This figure is still above the lower numbers of early 2005, but does show an improvement over the fourth quarter.

In other news, it appears that the FCC may have issues with the SKYFI 2 satellite radio, and that the FTC may have issues with XM’s marketing practices. It appears that probes into both issues have been launched by the agencies.

Early trading of XM shares has not been pretty. It is unclear what the street is taking the biggest exception to, but it is clear that some, or all of the news is not being well received.

At this point it boils down to Hugh Panero, and the presentation he will give in about 30 minutes.

As stated, SSG will be offering post conference call follow-up this afternoon.

A Call To Satellite Radio Fans

Satellite Standard Group through an item caught by the guys at Sirius Fan Network recently reported about a bill that sseks to have fees paid to record companies and artists for downloaded services.

In theory, this request seems reasonable. However, the legislation that has been proposed is not as "fair and balanced" as the Senators would have you believe.

Senators Feinstein, Graham Introduce Legislation to Require Cable, Internet, Satellite Music Broadcasters to Protect Digital Music, Allow Consumers to Continue to Record, Replay Programming

Washington, DC – U.S. Senators Dianne Feinstein (D-Calif.) and Lindsey Graham (R-S.C.) introduced legislation today to require cable, satellite and Internet music providers to protect music they broadcast while at the same time allowing consumers to continue to record and replay programming.

The Feinstein-Graham “PERFORM Act” or the “Platform Equality and Remedies for Rights Holders in Music Act of 2006” would require satellite, cable and Internet broadcasters to pay fair market value for the performance of digital music. Additionally, the bill would require the use of readily available and cost-effective technological means to prevent music theft.
As such, the PERFORM Act would help strike a balance between the promotion of technological advances in digital music delivery systems and the protection of and fair compensation for the intellectual property of musicians.


“The birth of the digital music place has been a boon for businesses and consumers. However, these new technologies and business models have become so advanced that the clear lines between a listening service and a distribution service have been blurred,” Senator Feinstein said. “I believe that the PERFORM Act would help strike a balance between fostering the development of new technologies and ensuring that songwriters and performers continue to be fairly compensated for their works. This legislation is a good first step forward in addressing a real problem that is occurring in the music industry.”


“I believe this bill does a good job of balancing innovation and technology for consumers, with fair rules for creators,” said Senator Graham. “I want new services to continue to be made available on different platforms. But the rules need to be fair for everyone – for the creators of the music who deserve to get paid when someone keeps a song, for the platform providers who deliver the music to the consumer regardless of whether it is Internet radio, satellite radio, or traditional radio, and especially for the consumer.”


A hearing on the future of the digital radio industry will be held by the Senate Judiciary Committee on Wednesday, April 26 at 9:30 A.M. Senators Feinstein and Graham are members of the Committee.


Background


Historically, a radio service simply allowed music to be performed and listened to by an audience. However, with the advent of new music services, the line between passive listening performances and reproduction and distribution has been blurred.


Recently, some services that offer digital transmissions have been exploring new technologies that would allow consumers to record, manipulate, and collect personalized music play-lists off their radio-like services instead of buying a CD or a downloaded song.


Senators Feinstein and Graham believe that these new forms of music delivery systems are beneficial for the consumer and should be promoted. They also believe, however, that as these new systems are developed, artists and songwriters must also be fairly compensated for their works.


The Feinstein-Graham PERFORM Act would:
1. Create Rate Parity – all cable, satellite, and internet companies should be subject to the same rates (these companies, covered by the government license created in Section 114 of the Copyright Act, would be required to pay a “fair market value” for the reproduction and copying of digital music.)


2. Establish Content Protection – distinguishing between the right to perform and the right to distribute (all companies would be required to use reasonably available and economically feasible technology to prevent music theft. In addition, a company may not provide a recording device to a customer that would allow him or her to record and reproduce music without paying a reproduction royalty.)

For example, if a listener chooses to automatically record a news station every morning at 9:00; a jazz station every afternoon at 2:00; a blues station every Friday at 3:00; and a talk radio show every Saturday at 4:00; that would be allowable. In addition, that listener could then use their recording device to move these programs so that each program of the same genre are back to back.

What a listener cannot do is set a recording device to find all the Frank Sinatra songs being played on the radio-service and only record those songs. By making these distinctions, this bill supports new business models and technologies without harming the songwriters and performers in the process. The bill also contains language to make sure that consumers’ current recording habits are not inhibited. Therefore, any recording the consumer chooses to do manually will still be allowed.


However, the PERFORM Act wouldnot:


1. Apply to Over the Air Broadcasting – the only application to broadcasters would be if they were to act as webcasters and simulcast their programs over the Internet, in which case they would be treated the same as all other Internet radio providers.


2. Inhibit Technological Advances – the bill would require cable, Internet and satellite providers to use reasonably available technology to protect the music, IF they want to enjoy the benefit of a government license. If, however, a company wants to use new technologies beyond the scope of a government license then they must go to the record companies directly to negotiate a licensing agreement through the market.

3. Be Discriminatory – under current law some businesses are required to pay higher licensing rates than others even though they provide essentially the same services. In addition, if a new satellite company were to be formed today they would be required to pay a higher rate than the current two companies in the market – that is not fair. Instead this bill would establish the same rates for all companies.

Here at SSG, we disagree with senators Feinstein and Graham. We do not see this as legislation that creates a "level playing field". The specific exclusion of over the air broadcasts gives a virtual free pass to FM radio and their project for HD radio. There already exists, today, devices that enable listeners to capure songs directly off of FM radio. The emergence of HD radio will inspire more devices to be created, yet FM radio and HD radio seem to be getting a free pass. Should this bill pass, the playing field will definitely not be level. Legislation of this type will not help the perceived problem because it lacks forsight. Further, the government should not need further to legislate an issue that has existing laws in place. Organizations such as the RIAA currently do not collect any fees from AM and FM radio. They do collect fees from satellite radio. Sirius and XM have been negotiating with the record companies and artist organizations independent of this legislation. While the bill would encompass many other aspects of audio reception such as the internet, it leaves FM, AM, and HD Radio to have free reign.

What can be done about this bill? An internet petition seems like a viable platform to express opinion, but to be frank, will not really work. Only a hand written letter from constituants, and a personal telephone call seem to get the attention of legislators these days. If someone is concerned enough to pen a letter, they must be passionate about the issue. Well, fans of satellite radio are indeed a passionate bunch, and SSG encourages those fans to take action.

Opie and Anthony on CBS

Some may feel that this write up is in bias, but let me assure you that it is not.

Today on my commute I tuned into WBCN FM in Boston to hear how the CBS version of the Opie and Anthony sounded. I found it nearly unlistenable.......wait, don't get in a dander.......I found it difficult to listen to because of the commercial load. It seemed like 20 minutes of content followed by 15 minutes of advertising in a pattern that continued throughout the drive.

It was the format that I took exception with. Opie and Anthony have talent, and do put on a good show, but this format seems to be "smothering" to me. Perhaps I have been spoiled by satellite radio for to long now.

Another thing I found very interesting was the content of the commercials. Every commercial break had an ad featuring HD Radio. As those that follow satellite radio know, HD (in the minds of some) will be more competitive with SDARS than the current FM format.

I have no personal knowledge of how the XM version of the sounded. Checking on some message boards, it would appear that old bits were played while CBS wrapped up their longer commercial sets. I saw comments of XM subscribers that are unhappy with the change, and some that feel that the product they pay a monthly service fee for is being watered down.

This article is not looking at the business side of the deal. I am speaking only about the consumer side of the deal. I can see why an Opie and Anthony fan that is an XM subscriber could be frustrated.

In all fairness, the concept here is brand new, and hopefully the "kinks" will be ironed out. Only time will tell if consumers will warm up to the idea. From my perspective, the CBS format is not compelling enough to draw me away from listening to satellite, and at the same time is not compelling enough to sell me on it either.

Sirius Sportster 4 Suffers Disappearing Act?

Bill Bennett Gets Sirius

Sirius satellite radio announced today that they will be the exclusive satellite radio provider of Bill Bennett's Morning in America radio show.

Beginning May 1, 2006 Bill Bennett's Morning in America will begin airing on SIRIUS Patriot, conservative talk radio with a patriotic flair, channel 144. The show airs Monday - Friday from 6:00 - 9:00 am ET.

Bill Seeks royalties for Satellite Radio Downloads

Sirius Sportster SP4-TK1 Released

April 25th, 2006

As reported first by Orbitcast, the new Sportster Replay has arrived on Crutchfield's website. There is currently no ship date listed, but one would think/hope it's coming soon, perhaps in time for Father's Day.

Basic features include the 44 minute replay buffer, a car kit, and a wireless remote. This unit will sell for $169.99.

Crutchfield is also offering the SUPV1 car kit and the SUPH1 home kit for $49.99 each. No boombox is available on Crutchfield's site at this time, but we assume the existing Sirius Sportster Boombox will not work due to a complete redesign of the device, as well as a new set of car and home docks.

This unit does not have the color screen that is outlined in GSI and SatelliteStandard's artist renderings.

Bear Sterns Outlook on XM

Bear Sterns has issued an outlook on XM satellite radio prior to their call scheduled for Thursday April 27, 2006.

Satellite Standard Group outlined our Q1 Confrence Call Outlook in a recent article here .

BearSterns is looking at a few key metrics from XM in the call

1Q06 PREVIEW

XM has already reported the key net sub add metric for the quarter at 568k, which was marginally lower than our revised 574k estimate. We are projecting total revenues of $200 mn (in line with previous estimates), EBITDA of $(70) mn (better than previous expectations primarily due to improved view on SAC and CPGA levels), and diluted EPS of $(0.52).

SSG notes that the Bear Sterns estimates fall in line fairly close with the streets averages.

O&A SHARING MAY BE POSITIVE IN OUR VIEW.

One of the reasons for XM to enter into the agreement may be to stem the migration of undecided listeners to the Sirius platform especially since Stern's replacements on terrestrial radio haven't been as successful in attracting and retaining audience share. In addition, XM likely is getting share of ad revenues and CBS may be bearing some costs.

SSG notes that this subject will likely get some comment durring the call, and certainly will be one of the questions from an analyst. SSG wrote a piece about CBS and XM here

DEBT REFI STRETCHES MATURITIES. In aggregate, XM made an offer to tender up to $450 mn of debt and prepay $240 mn to GM, and raised $800 mn in debt and a $250 mn credit facility that have extended debt maturities till 2013/2014 from 2009/2010 as well as alleviated liquidity concerns.

SSG covered this issue in detail in this article. Now that the deal has been finalized before the call, look for XM to discuss it during the call.

GM PREPAYMENT SUGGESTS SUFFICIENT LIQUIDITY

In addition to reducing the total amount that XM is required to pay to GM, this transaction further substantiates that XM does not foresee liquidity issues as far as the current business plan is concerned.

INVESTMENT OIPINION Given the risk-reward at current levels, we think shares remain attractive for the patient investors. Note, however, that the stock remains catalyst-driven and the market will be looking for consistent execution on investor expectations for a sustained rally

SSG agrees with this sentiment. We commented on April 20th that XM needs to have a convincing call and illustrate that they have corrected spending issues. They also need to offer solid guidance that the street can embrace. In our opinion if XM hits the numbers that the street is looking for, the response to the call should be positive.

Martha Says NO To Sears

Satellite Standard group previously covered a story relating to Martha Stewart, her new deal with Macy's, and her current deal with K-Mart/Sears. You can read that story here. Today, Marketwatch.com is reporting here that we should not expect to see Martha Stewarts line in Sears stores.

"Martha Stewart Living Omnimedia Chief Executive Susan Lyne refused to reveal any details of the company's recent home-goods partnership with Macy's Department Stores, but told analysts on the first-quarter earnings call that there will not be any Martha Stewart products in Sears Roebuck stores. Eddie Lampert, chief executive of Sears Holdings Corp., had hoped he could expand the Everyday Living brand, now exclusive to Kmart stores, into the Sears stores. But the Macy's deal apparently trumped that. "We're not going to comment on any of the specific terms of our Macy's deal but I think you can assume we will not be at Sears," Lyne said.

It would appear that Martha is not only expanding her brand but is also taking it more upscale.

CBS In The Mobile Video Business

Those that have followed Sirius and XM for any length of time are well aware of the intention of these services to get into the video business. Both companies have demonstrated video capabilities at the Consumer Electronics Show for the past three years, but as yet neither has delivered a video product to their subscribers.

Sirius and XM now seem to be much closer to implementing the video aspect of their business plans. Most now consider that Sirius and XM will both be rolling out video within the next nine months. The scope and pricing of the video roll out is still not known, but video on the go does seem to be a sector that is gaining traction.

Today Susan Kalla of Caris & Company, a widely known and quoted analyst, issued research notes on CBS Corporations venture into the sector through Verizon's V Cast service. Kalla notes in her piece:

"CBS began distributing news clips and celebrity alerts on Verizon (VZ, NR) Wireless for cell phones in late February for $.99 - $3.99 per month. CBS News is streaming video news segments produced exclusively for mobile phones on Verizon's V CAST service. We expect revenues of about $5 M in 2006. We assume popular programming from CBS and from Viacom, like Sponge Bob Square Pants will also migrate to the tiny screen. We attribute the slow rollout of programs to phones and the internet to difficulties in developing pricing models that optimize the revenue stream and maximize profits without cannibalizing the existing annuity base"

Obviously at this point CBS is acting as a content provider, and not the service which delivers the product. Understanding what CBS and Verizon are doing will better enable those following Sirius and XM to understand the costs of getting content. XM already has a relationship with CBS with the recent announcement of the syndication of the Opie and Anthony show. Sirius also has a relationship with CBS, but that one is currently in the court system of New York and centers around ex CBS employee Howard Stern.

The Kalla piece also talks about ABC and their recent agreements made with the guilds regarding this portable video concept often tagged as mobisodes.

Video For Satellite Radio

Sirius Satellite Radio and XM Satellite Radio have both been pursuing the idea of offering video over their respective services. The concept might be well received by consumers, and some are already experiencing video clips over their cell phones such as V Cast from Verizon.

Having cell phone companies in the video mix has to impact the business models revolving around implementing a live video service for both SDARS providers. One way that may be helpful is to generate two revenue streams from the video concept. The first revenue stream being the subscriber, and the second being advertisements. The question is what is the proper mix of ads that can be aired without aggravating your subscriber.

Satellite Standard Group (SSG) came across an article that relates to the development of 5 second ads. While the article does not reference satellite radio, you can easily see how something such as the 5 second ad can become a part of a video service offered by Sirius or XM.

Metacafe offers video content over the web, and currently sells 5 second ad slots to companies such as H & R Block. Meatcafe CEO Arik Czerniak stated, "Why not five-second video ads?" he said. "I would gladly put those in front of videos. But I will never put 30-second ads in front of videos. It's too much. It ruins the experience for viewers."

The 5 second ad concept seems simple enough and non-intrusive enough that it may well be a concept that will garner consideration from Sirius and XM as they delve into the video arena. What shape will the business model for the video portion of satellite radio take? Only time will tell.

'Tony' To Have a Radio Show on Sirius

April 25th, 2006

'Tony' from Dairy Queen, better known as Mark Cuban, will join the ranks of Howard Stern, Phil Jackson, and many others, to host a two-hour show titled Maverick Radio.

“Howard Stern won’t have anything on me,” Cuban wrote in an e-mail to the Star-Telegram. “I’m going to cover everything and anything, from sports to business to technology, movies and entertainment. I’m going to take full advantage of the no-holds barred opportunity that Sirius is offering me.”

The Sirius Store is now TSS Radio

Seen On The Message Boards

Internet message boards can be a wonderful thing, but all to often, they are clogged with senseless posts that are designed to scare people away. The most popular method is what we will term the "Drive By" post.

The "Drive By" post is a post with a bulleted point that while in and of itself may be factual, does not tell the whole story.

The Satellite Radio equities are a common battleground for "drive by" posts. Sirius Satellite Radio and rival XM Satellite Radio have a very unique circumstance that most other companies do not have. They operate in a virtual duopoly, and have customers that are very passionate about one service or the other. Sirius and XM are like the Yankees and Red Sox, or the Packers and the Vikings. It seems difficult for people to be fans of both, and their support of the chosen SDARS company can be very loyal.

What this means is a continuous banter on message boards between people that love SDARS, but are passionate about one company or the other. This article is not about the banter between those that are passionate about SDARS. This article is about a group of people that support neither company, but utilize the passions of the banter to do their work.

Today, we picked a post from the Sirius and XM Yahoo message boards to look at.

This first post is from the Sirius Yahoo message board, and can be considered a typical "drive by" post.

"SIRI is on track for BLOWOUT LOSSES....yep"

The second post is from the XM Yahoo message board, and is another typical "drive by" post.

"XM 2.4 BILLION IN DEBT & JUNK CREDIT...YEP CCC2 IS JUNK 1 STEP ABOVE BK"

Both of these posts are "short and sweet". Both make a point. Neither offers anything beyond the point they make. Investors need to understand that many issues that are brought up in these "drive by" posts are designed to paint a very negative broad brushed stroke at the company for an issue that is very specific. Investors need to understand a broad brushed range of issues that are made up of MANY specific components.

Those that think a little deeper will look at the loss for Sirius in Q1, and try to understand what it is that makes up the loss. How the current quarter impacts future quarters, and how the company is performing.

Those that look at XM's debt and bond status need to understand what the debt is, how it enables the company to function, how it impacts cash flow, and further need to understand how the bonds market works, and how ratings are determined.

The next time you see a "drive by" post, stop, look at it, take a few more steps than the poster did, and know that you will be better off in your investment decision (no matter what that decision is) because you took the time to do a bit more research than some "drive by" poster on the message boards.

Sirius to Provide Live Video Content

April 24th, 2006

Sirius Consumer Electronics Division Vice President Bob Law states that Sirius will likely unveil video services at the International CES in January, with a launch shortly after.

Regarding Content, CEO Mel Karmazin said, "We want the consumer to have some live TV channels in the back seat. Your kid is watching Disney or Nickelodeon [in the home] and you go into the car and pick it up, right in the car."

When asked to confirm that Sirius is partnering with Disney or Nickelodeon, Law said, "We are talking to people like that."

Sirius Canada Scores Touchdown

Sirius Family Plan

The quick eyes over at Sirius Backstage noticed that Sirius is stepping up their Family Plan to a certain extent. You can look at the Sirius Backstage piece here.

Satellite Standard Group (SSG) had noted in an earlier article that the Family plan sector was an area that Sirius could well chase if they so desired. With Sirius' Family plan making up about 11% of the subscriber base, there is room for growth in this channel. By contrast, XM currently has about 20% of their subscriber base in the Family Plan.

While the family plan subscribers do pay a lower monthly fee ($6.99), they do tend to be less expensive to gather up, and less likely to churn out.

In the past, XM has indicated that the "sweetspot" for the Family plan is somewhere between 25% and 30% of the base. If this is true, then Sirius has plenty of room to grow this segment. This first push into this area will be short lived (it ends May1, 2006), and is likely a test run to see how well the promotion is accepted.

Building The Perfect Play List

Want to build the perfect play list with a healthy mix of all of your favorites from yesterday and today? With the Sirius S50, you can do it quickly and easily without hours in front of the computer, or those downloading fees that you get with other services.

Below is my recipe for great listening. Readers can come up withy their own ingredients to satisfy their own tastes.

Here is what you need:

  1. A Sirius S50 with a Home Dock or Executive Docking System (You can get the S50 Executive System here.)
  1. Equal Parts Classic Rewind, The Pulse, and the Big 80’s
  1. A sprig of 60’s vibrations
  1. A pinch of Totally 70’s
  1. A dash of Sirius Hits 1 and BBC Radio 1
  1. A One hour commute, jog, train ride, etc.
  1. The “Love Button” on the S50.

Here is what I do:

Each night, I dock the S50 in my home dock and tune it to a station that I enjoy. The S50 automatically records the content from that stream, and by morning I have several hours of songs to sort through.

I take my S50, dock it in the car, and begin my morning commute (all important coffee at the ready). I select play lists, and play the songs from the channel recorded during the night. If I hear a song that I want to save I hit the love button. The song is saved within 30 seconds, and I fast forward to the next tune, and repeat the process throughout the commute. By the end of the commute I can easily have “loved” (saved) 30 or 40 songs.

The next night I do the same thing with a new channel, and repeat the process on my commute. After 3 days or so I have created a play list that has a wide variety of songs, and have not spent hours in front of the computer. Should I desire, I can edit the play lists or modify them at any time by using My Sirius Studio software.

Because there are no “download fees”, I find myself not getting hung up on which songs I save. I simply “love” the songs I enjoy at that given time. I can always delete them if I grow tired of them.

The beauty of a device such as the S50 is that you have the ability to “love button” a song whenever you want, and don’t have to sit and think about the songs you would like in your play list. Even while listening to live satellite radio, I often find myself hitting the love button.

To me the “LOVE BUTTON” represents instant audio satisfaction, and the S50 makes building the perfect play list very easy.

Opie and Anthony Return to Terrestrial Radio

This morning on my commute I tuned in terrestrial radio for the first time in a long time. I tuned in to WBCN 104.1 in Boston to see how the new Opie and Anthony Show was coming along in their return to terrestrial airwaves.

I heard a bit of Green Day, and then and announcement to tune in at 9:00AM for a special announcement.

It seems that O & A are not on quite there yet, but an announcement would be forthcoming.

At 9:00AM it was announced that the shock jock duo will one again hit Boston airwaves, and the airwaves of 6 other markets beginning April 26, 2006.

Will the return be a success? Only time and ratings books will tell.

XM and CBS

File this piece under Speculation.

Satellite Standard Group (SSG) as well as others have seen and heard speculation about XM working with CBS.

This week news broke that XM shock jocks Opie and Anthony would become available on terrestrial radio in seven markets. They will be replacing David Lee Roth.

Is this the end of the CBS and XM relationship, or merely the beginning?

XM has indicated that they could very well be seeking a partner for their WCS spectrum (should it be approved) which services 15 markets. The WCS deal upon approval will cost XM 5,500,000 shares of stock. At the time the deal was announced, the stock was at $36.00. Approval of the deal in the current stock price range would certainly help keep the share expense down for XM (the deal is still 5,500,000 shares).

There is a lot of speculation about the WCS spectrum, and what type of services or content XM intends to deliver with it. At a minimum, if they want current subscribers to be able to use the service, upgrades would be in order.

SSG has no information that the XM and CBS relationship is anything more than the Opie and Anthony deal, but given the recent pronouncements about bringing in a partner, it may well be something that is being considered.

Perhaps adding to the speculation may be the recent refinancing package that XM did. This refinancing removed some very steep fixed payment obligations, and will do very well for the balance sheet.....something a potential partner may be more comfortable with.

As stated earlier, this is simply speculation.

XM Refinances Debt

Today after the market closed XM satellite radio filed paperwork with the SEC relating to debt refinancing. Satellite Standard Group (SSG) takes a look at the refinancing deal and breaks it down.

In simple terms, XM took on $800,000,000 worth of new debt and retired $447,000,000 of existing debt. The net on the transaction was the addition of about $353,000,000 on new debt. The deals finance $600,000,000 at a fixed rat of 9.75%. The remaining $200,000,000 is at a floating interest rate starting out at 9.6%. Interest expenses on the new debt should total about $78,000,000 per year (using 9.7% as a rate). Previously the old debt had payments of about $52,000,000 per year. The interest payments by XM have effectively gone up by $26,000,000 a year.

Of that $353,000,000 of new debt XM used $240,000,000 to prepay General Motors for fixed payment obligations that would have been due in 2007, 2008, and 2009. Previously those fixed payments would have totaled $320,000,000 and had no interest tied to them. So while the $240,000,000 is less than the $320,000,000 the prepayment money has been borrowed. If we assume a rate of 9.7% for the borrowed money, XM will pay $186,000,000 in interest over the 8 year period that the financing is in place. This brings the total GM obligation to $240,000,000 + $186,000,000= $426,000,000 instead of $320,000,000.

This prepayment to GM takes a short term burden of substantial payments off of XM's shoulders, and allows them to spread that cost over 8 years, rather than the coming 3 years. In effect, it will improve the cash flow for XM in 2007, 2008, and 2009 substantially. The balance sheet for 2006 will not look as nice, but going forward it can give XM some leverege. Under the previous deal, the payments to GM would have been made from cash. They are now financed. It would appear that this deal with GM included the fixed obligation payments only. It seems that XM will still have to pay GM subsidies, as well as a revenue share.

Also as part of the financing, XM picked up a $250,000,000 revolving credit facility. This is likely at a cost of 50 basis points, and thus would have a cost of about $1,000,000 per year.

In the short term, there may be some confusion relating to the deal, and how various costs will be accounted for. You can be sure that XM will field some questions relating to this at the quarterly Conference Call. On a long term basis, this refinancing will help XM with cash flow, and will make financial statements look much more healthy despite the added debt.

The wild card here remains the WCS spectrum, what XM has planned for it, and what kind of costs will be needed to roll out the use of it. If XM can utilize the spectrum without big costs, the street should be very receptive. If the costs are high, it will be a much harder sell with the street.

Martha Stewart Promotes Sirius

Looks like the Martha brand is "cross promoting" by taking one aspect of her brand and combining it with another. In our opinion it wont make Mothers day as big as Fathers day for Sirius, but every little bit helps.

Manson - My faith in Jesus Christ. He died on the cross so I could do funny shit bits on the radio. Or if I have writers block, I pray to Satan, and smoke dope.

SSG - The Bubba The Love Sponge Show is a hit on Sirius Satellite Radio. Satellite radio gives you much more latitude and freedom in your work. Can you picture yourself back on terrestrial radio?

Manson - Absolutely not. Unless I get fired and had no where else to go.

SSG - How do you define McGuilicutty?

Manson - It's everything, or nothing. Whatever you want it to be. Bush should start using it.

SSG - You are also well known for your voice impersonations. What are some of your favorite voices to do?

Manson - Clinton and Tyson were always my favorites. They don't make celebs like that anymore.

SSG - Where do you practice these impersonations?

Manson - If I'm doing a bit that involves an impersonation, I will get a tape of the subject and do the lines over and over until I get it right.

SSG - What do you think of Laskers new Nike's?

Manson - They are awesome!(If you're a 12 year old boy.)

SSG - Which Sirius receiver do you have, and if you were to turn it on right now what station would it be on?

Manson - I have an S50 and it is tuned to Howard 101

SSG - What channels are your favorites on Sirius?

Manson - 100, 101, all polka and clogging channels.

Manson - I watch Fox news incessantly. It's infuriating in it's right wing bias, but hey it's a much better presentation than CNN. Plus No one can tell me I'm influenced by the Left wing media.

Sirius Files SEC Documentation For Annual Meeting

Sirius Conference Call Outlook

Sirius Satellite Radio has announced the date and time of their First Quarter Conference Call. You can read about that here.

Satellite Standard Group (SSG) would like to point out what the expectations are, and what investors may want to watch for.

What The Street Is Expecting

The street is looking for a loss of 35 cents per share with revenue of $122,870,000.

What To Watch For

1. Watch for the reaction by the street to the size of the loss. Sirius announced that they were taking the full cost of the Howard Stern shares issued in January of this year in Q1. The value (cost) of those shares is about $220,000,000. The impact on the loss for one quarter is very big, and there may be some out there who are not expecting it despite the fact that this event is well known.

2. Watch for a lower Subscriber Acquisition Cost. One of the benefits of a big spill-over of subscribers fro Q4 into Q1 is that those subscribers SAC costs were already absorbed in Q4. This should help bring down the SAC number. However, you should also be aware that there were inventory crunches, and Sirius apparently did go "back to manufacture". This type of activity has costs associated with it. There were also rumors during the quarter that Sirius was flying over product to meet demand. While that did get product to stores more quickly, it is also a more expensive method of getting hardware stateside.

3. Watch for ramped up OEM's. This channel of Sirius' subscribers has seen substantial growth, and will continue to see growth. Sirius is anticipating about 826,000 NET OEM subscribers this year, so one might imagine that on average we should see a bit over 200,000 in each quarter.

4. Watch for improved advertising revenue. Mel Karmazin has stated that advertising revenue has been doing very well, but has not yet raised guidance from ad revenue being 10% of 2006 revenue. This call will offer the first taste of how well the ad revenue is doing. Investors should run a quick check on the numbers to see if Q1 ad revenue is better than 10% of overall revenue. In our opinion, if ad revenue is anything over 12.5% we may see Mel increase guidance in this area.

5. Watch For Strong Discussion about CFBE. Sirius has stated that they anticipate that they can be CFBE in Q4. Look for Mel to hone in on the metrics that illustrate this.

6. Watch for Discussion about the retail channel. Sirius captured 59% NPD share in Q1. Look for Mel to talk about this, and look for him to give the number with the inclusion of Wal Mart, Sams, and Costco. Look for Mel to speak about what consumers are doing when they have a choice.

7. Subscribers. Sirius has not yet announced the subscriber total for the 1st quarter. They will surely announce it in the call, and will show that they are well on their way to reaching their stated guidance of 6,000,000 subscribers by the end of the year. At this points most analysts feel that Sirius can indeed obtain that goal. Sirius does in fact have a distinct sector where they can grow even further. The Friends and family section of the Sirius subscriber base makes up about 11%. Rival XM is at about 20%, and has aggressively marketed to this section of the market. If Sirius were to decide to be aggressive in this sector, they could garner a good number of subscribers on top of what they are already projecting.

8. Hardware. Watch for Sirius to finally offer some more flavor on the new hardware. People know it's coming, but are in hopes that it comes in time for the Fathers Day sales push.

UPDATE: An SSG staffer noted that there is another item that investors should be aware of:

Sirius stated in the 4th Quarter that they had about $100 million in deferred payments for hardware that normally would have been paid in the 4th Quarter, but due to a slight shift in their production was not due until the 1st Quarter. Thus cash usage in the 1st Q should be about $100 million higher than it would have been without the shift.

CLARIFICATION - SSG would like to thank a readr for a question they had that led to this clarification. The shift of hardware costs from Q4 to Q1 is figured into the analyst average expectations NOT in addition to it. Basically investors will see the hardware subsidy costs run at a higher figure that normally would be the case. Thank you SSG readers for your questions and comments.



Basically, Sirius should have a whole list of good things to announce in the call. The biggest question is whether all of that is enough to offset the large number that will be in the loss column. Mel Karmazin needs to be crystal clear in the guidance, and explain the Q1 loss in simple terms that will not get bogged down in confusion. If Mel can do this, there could be some positive reaction from the street.
