Sirius Files Merger Paperwork

We filed a Notification and Report Form pursuant to the Hart Scott Rodino Antitrust Improvements Act of 1976, as amended, with respect to the transactions contemplated by the Agreement and Plan of Merger, dated as of February 19, 2007, between ourselves and XM Satellite Radio Holdings Inc. The filing is effective as of March 13, 2007.
